Terms of service.

These terms and conditions are effective as of November 29th, 2024.

These Terms and Conditions ("Agreement") constitute a legally binding agreement between you, whether in your personal capacity or on behalf of an entity ("you"), and talee ("we," "us," or "our"), governing your access to and usage of the talee mobile application (the "App") and any associated media forms, channels, mobile websites, or mobile applications linked to or connected with it. By downloading or using the App, you affirm that:

(1) agree to be bound by this Agreement and any future amendments and additions to this Agreement as published through the Services;

(2) represent you are of legal age in your jurisdiction of residence to form a binding contract; and

(3) represent that you have the authority to enter into this Agreement personally and, if applicable, on behalf of any Talee, organization, or other legal entity on whose behalf you use the Services.

Except as otherwise provided herein, if you do not agree to be bound by this Agreement, you may not access or use the Services.

When registering an Account, you agree to provide only true, accurate, current, and complete information requested by the registration form (the "Registration Data") and to promptly update the Registration Data thereafter as necessary. The Registration Data may include personally identifiable information such as your email address and personal data relating directly or indirectly to you, practicable for the identity of you, and other information. Your submission of Registration Data through the Services is governed by Talee’s Privacy Policy (the “Privacy Policy”), which we strongly advise and require you to read before using the Services.

You represent that you are not barred from using the Services under any applicable law and that you will be responsible for all activities that occur under your Account. You agree to monitor your Account to restrict its use by minors and other unauthorized users and agree not to share your Account or password with anyone. You further agree to notify the Talee immediately of any unauthorized use of your password or any other breach of the security of your Account and to exit from your Account at the end of each session. You are responsible for the confidentiality of your login and OTP and for the security of your computer system or mobile device. Talee is not responsible for the use of your OTP and Account or for all of the communication and activity on Services that result from the use of your login name and password by you, by any person to whom you may have intentionally or by negligence disclosed your login and/or OTP in violation of this confidentiality provision. you agree not to create an Account using a false identity or alias or if you previously have been banned from using any of the Services. You further agree that you will not maintain more than one Account for the same Talee service at any given time. The Talee reserves the right to remove or reclaim any usernames at any time and for any reason. You acknowledge and agree that you have no ownership or other property interest in your Account and that all rights in and to your Account are owned by and inure to the benefit of the Talee. Certain services may be restricted if such news articles are restricted in the said territory.

Age restrictions and other consideration

Only 17 years or older are permitted to use our service, and are not barred from using the Services under applicable law.

Restrictions on Usage and Intellectual Property

You are expressly prohibited from copying, modifying, or altering the App, any of its components, or our trademarks in any manner. You are also prohibited from attempting to extract the App's source code, translating the App into other languages, or creating derivative versions. All rights to the App, its trademarks, copyrights, database rights, and other intellectual property rights remain vested in us.

App Updates and Charges

We are dedicated to ensuring the App's efficiency and usefulness. Consequently, we retain the right to implement modifications to the App or introduce charges for its services, at our discretion and for any reason.

For reasons that include, without limitation, system security and stability, Services may need to automatically update, pre-load, create new versions of or otherwise enhance the Content and Services and accordingly, the system requirements to use the Content and Services may change over time. You consent to such automatic updating. You understand that this Agreement does not entitle you to future updates, new versions or other enhancements of the Content and Services, although the Talee may choose to provide such updates, etc. in its sole discretion.

Data Handling and Security

The App collects and processes personal data provided by you to offer our services. Please refer to our most recent privacy policy on our website and the app’s listing page in play store and app store. You are responsible for safeguarding your device and maintaining secure access to the App.

The App utilizes third-party services, each of which has its own Terms and Conditions. Here are the main services: YouTube, Google Play Services, google analytics, drive, gmail and Firebase. please refer to their Terms and Conditions.

We also use content management system (CMS) software such as squarespace to manage emails from users who wish to contact us.

Certain circumstances are beyond our responsibility:

The App may necessitate an active internet connection for specific functions, and we cannot be held accountable if full functionality is compromised due to a lack of Wi-Fi or available data.

When using the App outside of areas with Wi-Fi, your agreement with your mobile network provider still applies, and you may incur charges for data usage or other third-party fees.

Users are responsible for ensuring that their device remains charged. We do not accept responsibility if your device runs out of battery, rendering the App unavailable.

Third-Party Websites and Content

The App may contain links to Third-Party Websites and Third-Party Content. When you click on a link to access news articles or other content via a WebView component or though another app, we will not warn you that you have left our Services. Although we strive to only get trustworthy content from trustworthy sources, we do not investigate, monitor, or verify the accuracy, appropriateness, or completeness of each content and sources. We assume no responsibility for Third-Party Websites accessed through the App or any Third-Party Content available on or through the App, including content accuracy, opinions, privacy practices, or other policies including local laws in your area.

Your engagement with Third-Party Websites or Third-Party Content is solely at your own risk. We disclaim endorsement or approval of Third-Party Websites or Third-Party Content. You are encouraged to review the respective terms, policies, and practices of any linked websites or applications. We hold no liability for purchases made through Third-Party Websites or transactions between you and third-party providers or content you consume.

License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to download and install the App on a mobile device that you own or control. This license is for your personal, non-commercial use only. you are not permitted to:

Copy, modify, or create derivative works based on the App.

Distribute, transfer, sublicense, lease, lend, or rent the App to any third party.

Reverse engineer, decompile, or disassemble the App.

Make the App's functionality available to multiple users through any means.

The app reserves all rights in and to the App that are not expressly granted to you under these Terms.

Scrape the app or website for any data, including images, tags and topics associated with each content.

General Restrictions

You agree not to:

Attempt to probe, scan, test, or breach the security or authentication measures of systems or networks.

Circumvent any technological measures implemented by its providers to protect the Services or Content.

Use any engine, software, tool, agent, or mechanism other than those provided by us to access or search the Services or Content.

Use our trademarks, logos, URLs, or product names without our express written consent.

Use the Services or Content for commercial purposes or in a manner not permitted by these Terms.

Impersonate or misrepresent your affiliation with any person or entity.

Violate any applicable law or regulation.

If you incorporate any third-party content in any Derivative Work (secondary and audio-visual), you must be sure to obtain all necessary rights from the owner of that content.

Termination

We may terminate your access to and use of the Services at our sole discretion, at any time and without notice. Certain provisions, including ownership, warranty disclaimers, indemnification, limitations of liability, dispute resolution, and general terms, will survive any termination, discontinuation, or cancellation of Services.

Warranty Disclaimers

The Services and Content are provided "AS IS," without any warranties. We explicitly disclaim all warranties of merchantability, fitness for a particular purpose, quiet enjoyment, non-infringement, and any warranties arising from the course of dealing or usage. We do not warrant that the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of any Content. For example Talee make no warranty, representation or condition that: (1) the services or any products will meet your requirements or (2) your use of the services will be uninterrupted, timely, secure or error-free.

Talee parties shall not be liable for any loss of profits or revenue or for indirect, incidental, punitive, exemplary, special or consequential damages, or damages or costs due to loss of data, production, or use, business interruption or procurement of substitute goods or services, whether or not the Talee has been advised of the possibility of such damages.

Talee assume no responsibility for the timeliness, deletion, misdelivery or failure to store any content, user communications or personalization settings. without limiting the foregoing, the Talee will not be liable for damages of any kind resulting from your use of or inability to use the service or from any products or transactions or transfers relating to products, or from any third party materials, including from any virus that may be transmitted in connection therewith, and including from any dispute with any other user of the service.

Neither Talee, its licensors, nor their affiliates, nor any of the Talee’s service providers, shall be liable in any way for loss or damage of any kind resulting from the use or inability to use the services, your account and the content and services including, but not limited to, loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses. in no event will the Talee be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or any other damages arising out of or in any way connected with the services, the content and services and any information available in connection therewith, or the delay or inability to use the content and services or any information, even in the event of the Talee’s or its affiliates’ fault, tort (including negligence), strict liability, or breach of the Talee’s warranty and even if it has been advised of the possibility of such damages. these limitations and liability exclusions apply even if any remedy fails to provide adequate recompense.

NO GUARANTEES: To the maximum extent permitted by applicable law, neither the Talee nor its affiliates guarantee continuous, error-free, virus-free or secure operation and access to the services, the content and services, your account and/or your subscriptions(s) or any information available in connection therewith.

Indemnity

You hold talee and its officers, directors, employees, and agents from any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including legal and accounting fees, arising from your access to or use of the Services or Content or your violation of these Terms or your violation of any rights of another party, including any users; or your violation of any applicable laws, rules or regulations; or a breach of any representations or warranties you’ve made to us.

AMENDMENTS TO THIS AGREEMENT

This Agreement may at any time be mutually amended by your explicit consent to changes proposed by the Talee. Furthermore, the Talee may amend this Agreement unilaterally at any time in its sole discretion. In this case, You will be notified by email of any amendments to this Agreement within 10 days before the amendments take effect. If you do not cancel your account before the effective date of the amendments, your continued use of the services will constitute your acceptance of the amended terms. If you don’t agree to the amendments or to any of the terms in this Agreement, your only remedy is to cancel your Account. the Talee shall not have any obligation to refund any fees that may have accrued to your Account before cancellation of your Account, nor shall the Talee have any obligation to prorate any fees in such circumstances.

Termination by You

You may cancel your Account at any time. The accounts are not transferable.

Termination by the Talee

The Talee may cancel your Account at any time in the event that (a) the Talee ceases to provide Services, or (b) you breach any terms of this Agreement.

Procedure for Making Claims of Copyright Infringement

If you believe content posted on the Services infringes your copyright rights, please provide our Copyright Agent with the following information: (1) an electronic or physical signature of the person authorised to act on behalf of the owner of the copyright interest; (2) a description of the copyrighted work that you claim has been infringed; (3) a description of the location on the Services of the material that you claim is infringing; (4) your address, telephone number and e-mail address; (5) a written statement that you have a good faith belief that the disputed use is not authorised by the copyright owner, its agent or the law; and (6) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorised to act on the copyright owner's behalf. Electronic Communications

The communications between you and the Talee use electronic means, whether you visit the Services or send the Talee e-mails, or whether the Talee posts notices on the Services or communicates with you via e-mail. For contractual purposes, you (1) consent to receive communications from the Talee in an electronic form; and (2) agree that all terms and conditions, agreements, notices, disclosures, and other communications and documents that the Talee provides to you electronically will have the same legal effect that such communications or documents would have if they were set forth in "writing." The foregoing sentence does not affect your statutory rights.

Force Majeure

The Talee shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labour or materials.
